Terms of Service

Agreement

These terms are between you and Adease LTD ("Adease", "we", "us"). By installing or using the Adease application you accept them. If you are agreeing on behalf of a company, you confirm you are allowed to bind that company.

Your licence

We grant you a non-exclusive, non-transferable licence to install and use Adease on machines you control, for as many seats as you have paid for. You may not resell it, rent it out, or redistribute it.

You may not reverse engineer, decompile or attempt to derive the source code of the application, except where the law expressly allows it.

Your accounts and your data

Adease connects to advertising platforms using credentials you supply. You are responsible for holding valid authorisation to manage every account you connect, and for complying with each platform's own terms.

You keep all rights in your data. We claim no ownership of your campaigns, creative, reports or knowledge base.

Approvals and automated actions

Adease proposes changes to your advertising accounts and applies them only after a person approves them. You are responsible for what you approve, including any spend that results.

The agent can make mistakes. Review every proposal before approving it. We are not liable for advertising spend, lost revenue or platform penalties arising from changes you approved.

Plans and billing

• Pro — $50 per seat, per month. Unlimited clients and campaigns, all supported platforms, approvals, reports and the standard agent token allowance.
• Max — $200 per seat, per month. Everything in Pro with five times the agent token usage.

Adease is free to install. Subscriptions are billed in advance each month per seat and renew automatically until cancelled. Prices are exclusive of any applicable tax. Cancelling stops the next renewal; you keep access until the end of the period you have paid for.

Token usage

Agent activity consumes tokens, and each plan includes an allowance. Max includes five times the Pro allowance. If you reach your allowance we will tell you in the app; agent features may be limited until the allowance resets or you move to a higher plan.

Acceptable use

You agree not to use Adease to:

• break the law or any advertising platform's policies;
• access accounts you are not authorised to manage;
• interfere with the service, or attempt to gain access to systems or data that are not yours;
• resell access, or use the software to build a competing product.

Availability

Adease runs on your machine, so it keeps working when our systems are not reachable. Licensing, billing and the agent may be unavailable during maintenance or outages. We do not commit to a specific uptime figure unless we have agreed one with you in writing.

Suspension and termination

You can stop using Adease at any time and delete your account from Settings. We may suspend or end your access if you breach these terms, if payment fails, or if we are required to by law. We will give notice where we reasonably can.

Warranties and liability

The software is provided "as is". To the extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, our total liability in any twelve month period is limited to the fees you paid us in that period, and we are not liable for indirect or consequential loss, lost profits or lost advertising spend.

Changes to these terms

We may update these terms. If a change materially affects you we will give reasonable notice in the app or by email. Continuing to use Adease after a change means you accept it.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Adease LTD is registered in England and Wales, company number 14743980, registered office 124 City Road, London, EC1V 2NX, United Kingdom.
